Terms of Service

1. Acceptance of Terms

By accessing or using Fuelads ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. These Terms apply to all users of the Platform, including business owners and their authorized representatives. By accepting these Terms, you represent that you are authorized to enter into this agreement on behalf of the business you represent. Fuelads is operated by Inkvoid LLC, a Wyoming Limited Liability Company (EIN: 98-1934131), located at 30 N Gould St Ste R, Sheridan, WY 82801, United States.

2. Description of Services

Fuelads provides AI-powered digital marketing services. The Platform is operated by an AI agent named ARIA, which works autonomously on a continuous optimization cycle. Services include, but are not limited to: Marketing Strategy & Research - Market analysis and viability assessment - Competitor research and buyer persona generation - Marketing strategy and media plan generation - Brand identity creation (colors, fonts, logos, voice) - Ad creative production (copies, images, and video when applicable) Website & Catalog - Multi-page website building with SEO optimization - Site management with autoservice tools - Product catalog management with AI-generated images - Per-product image regeneration with custom AI prompts Advertising Campaign Management - Campaign management on Google Ads, Meta (Facebook & Instagram), TikTok Ads, LinkedIn Ads, Microsoft Advertising, and other platforms as added - Always-on continuous campaigns - Seasonal campaigns with scheduled start and end dates and automatic launch/pause - Inline editing of AI proposals before launch - Performance analytics, reports, and AI insights - 48-hour autonomous optimization cycle: ARIA reviews and adjusts campaigns every 48 hours without manual intervention Customer Relationship Management (CRM) - Lead capture from web forms, WhatsApp, Meta Lead Ads, and other sources - Pipeline stages, lead scoring, activity tracking - Tasks, reminders, and follow-up automation - Source attribution and ROI tracking by acquisition channel - Weekly automated CRM performance reports Messaging - WhatsApp Business Cloud API integration (template approval workflow, media support) - Quick replies and message templates - Inbound and outbound conversation management Meta Custom Audiences (CRM-to-Ads) - Automatic synchronization of CRM contact data with Meta Custom Audiences (SHA-256 hashed PII) - Lookalike Audience generation based on converted customers - Website Custom Audiences via Meta Pixel - Engagement Custom Audiences from Instagram and Facebook business assets - Automatic exclusion of won customers from prospecting campaigns - Re-targeting of prior website visitors and engagement audiences Targeting Intelligence - AI resolution of natural-language interest targets into Meta's official Interest IDs via the Meta Targeting Search API - Audience size validation (minimum threshold filter to avoid hyper-niche targeting) - Multi-locale support (Spanish LATAM, English US, Portuguese Brazil) Services are provided on a monthly subscription basis and are subject to ongoing development and improvement.

3. Subscription Plans and Billing

Fuelads offers three subscription tiers: - Starter — $500 USD/month (1 website, up to 3 catalog products, up to 10 active campaigns) - Growth — $1,000 USD/month (up to 10 pages, 20 catalog products, up to 20 active campaigns) - Enterprise — $5,000 USD/month (unlimited pages, up to 150 catalog products, up to 100 active campaigns, priority support) All plans include the full feature set described in Section 2 (CRM, WhatsApp messaging, Custom Audiences, interest resolver, agent automation). Subscriptions are billed monthly in advance. An optional human account executive add-on may be available with Enterprise plans for an additional fee, disclosed at signup. Pricing is in US Dollars (USD). We reserve the right to modify pricing with 30 days written notice to the email associated with your account.

4. Payment Terms

Payment is due at the beginning of each billing cycle via wire transfer to Inkvoid LLC's US bank account. Failure to pay may result in service suspension after a grace period of 5 business days. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We do not provide pro-rated refunds for partial months. Payment details are provided at signup. We do not currently process credit card payments directly through the Platform. All wire transfer information will be communicated through your authorized contact email and our billing department (billing@fuelads.tech).

5. Commitment Period

Subscriptions include an initial commitment period of 6 months from the date of first website publication or first campaign launch, whichever occurs first. During this 6-month commitment period: - Fuelads is responsible for maintenance, bug fixes, and assisted edits to your website and campaigns - You receive priority support - The ARIA agent operates continuously on your account - You may not unilaterally terminate without paying the remaining months of the commitment After the 6-month commitment period: - You may cancel your subscription at any time with 30 days written notice - You may continue using the service indefinitely as long as payments are current - You may download your full website as a ZIP file at any time and host it independently - You may export your full CRM database in standard formats (CSV, JSON) This commitment ensures we can deliver high-quality service while you receive sustained value.

6. Your Digital Assets

All digital assets created or managed through our Platform — including but not limited to ad accounts, conversion pixels, custom domains, creative files, websites, content, CRM contacts and history, Custom Audiences in Meta, and any data — remain your exclusive property at all times. Fuelads will never retain, hold hostage, or claim ownership of your digital assets. Specifically: - You may export your full website as a ZIP file at any time from the Site Manager dashboard - You may export your CRM contacts, leads, conversations, and activity logs in CSV or JSON format - Your Meta Custom Audiences remain in your Meta Ad Account under your control - Your campaigns remain in your own Google Ads / Meta Ads / TikTok Ads accounts Upon termination of services (after the commitment period or as otherwise allowed), all digital assets remain accessible to you for download for at least 30 days following termination.

7. Third-Party Platform Connections

To deliver our services, we connect to third-party platforms on your behalf when you authorize the connection, including but not limited to: - Google services (Google Ads, Google Analytics, Google Business Profile, YouTube, Google Merchant Center, Google Tag Manager, etc.) - Meta platforms (Facebook, Instagram, Messenger, Meta Pixel, Meta Custom Audiences API) - WhatsApp Business Cloud API (for messaging features) - TikTok Ads, LinkedIn Ads, Microsoft Advertising - Other advertising platforms as added You are responsible for maintaining valid accounts on these platforms and complying with each platform's Terms of Service. Fuelads is not responsible for actions taken by these third-party platforms (account suspensions, policy changes, API limit changes, etc.). You may revoke our access to any connected platform at any time, which may affect our ability to provide certain services.

8. AI-Generated Content

Our Platform uses artificial intelligence — including but not limited to Anthropic's Claude (multiple model versions) and Ideogram — to generate marketing strategies, ad copies, brand assets, websites, images, audiences targeting, and analyses. While we strive for high quality and accuracy, AI-generated content may occasionally contain errors, inaccuracies, or outputs that require human review. You are responsible for reviewing AI-generated content before publishing or using it commercially. The Platform provides editing tools at multiple stages: - Inline editing of campaign proposals before launch - Per-product image regeneration with custom prompts - Approval workflow for WhatsApp message templates Fuelads does not guarantee specific results from AI-generated marketing strategies, campaigns, or content. You retain full ownership of AI-generated content created for you through the Platform.

9. Advertising Performance

Fuelads does not guarantee specific advertising results, including but not limited to: - Lead volume - Conversion rates - Return on ad spend (ROAS) - Search engine rankings - Sales figures - Custom Audiences size or match rate (which depends on Meta's matching algorithm and the quality of your CRM data) Marketing performance depends on many factors beyond our control, including market conditions, competition, your product or service quality, your pricing, your customer service, platform algorithm changes, and the size and quality of your CRM data for custom audience generation. We commit to applying digital marketing best practices, continuously optimizing campaigns through the ARIA agent's 48-hour review cycle, and providing transparent reporting. We do not promise rankings on Google or other platforms — anyone who promises this is being dishonest.

10. CRM Data, Messaging Consent, and Custom Audiences

When you use the CRM, WhatsApp messaging, and Meta Custom Audiences features, you assume specific legal responsibilities: Lead Consent and Data Quality - You declare that all CRM contacts (leads) were obtained with appropriate consent under applicable privacy laws (GDPR in Europe, LGPD in Brazil, CCPA in California, Colombia's Ley 1581/2012 Habeas Data, and equivalent laws in other jurisdictions) - You declare that your capture forms and privacy policies clearly inform users that their data may be used for marketing communications and advertising targeting on third-party platforms (including Meta) - You are responsible for honoring opt-out and deletion requests promptly WhatsApp Messaging Consent - You declare that all recipients of WhatsApp messages sent through Fuelads have opted in to receive business messages from you, per WhatsApp Business Platform policy - You are responsible for compliance with WhatsApp's commerce policy, messaging policy, and business policy - Fuelads is not responsible for WhatsApp Business account suspensions caused by policy violations Custom Audiences Sync to Meta - You explicitly authorize the synchronization of hashed PII (email, phone, name) to Meta Custom Audiences - You declare that you have legal basis to share contact data with Meta for advertising purposes - You may revoke this consent at any time from your Audiences settings; existing audiences in Meta remain under your control - When you delete a lead from the CRM, the lead is automatically removed from associated Custom Audiences in the next sync cycle (typically within hours, not real-time) Fuelads is NOT responsible for compliance with privacy laws in your jurisdiction. The client (you) is solely responsible for obtaining and maintaining the necessary consents from data subjects.

11. Prohibited Uses

You may not use Fuelads to: - Promote illegal products or services - Engage in deceptive, misleading, or fraudulent advertising - Violate the platform policies of Google, Meta, WhatsApp, TikTok, LinkedIn, or any other connected platform - Promote gambling, weapons, adult content, drugs, or cryptocurrency without obtaining required approvals from the relevant ad platforms - Engage in discriminatory advertising practices (housing, employment, credit ads with protected-class targeting) - Infringe intellectual property rights - Send unsolicited WhatsApp messages or upload to Custom Audiences without legitimate consent - Engage in any activity that violates applicable laws (including but not limited to consumer protection, advertising standards, data protection, and anti-spam laws) Violation of these prohibitions may result in immediate service termination without refund.

12. Confidentiality

Both parties agree to maintain the confidentiality of proprietary business information shared during the engagement. Fuelads will not share your business data, marketing strategies, CRM contacts, customer lists, messaging history, or competitive intelligence with third parties or competing clients. Our internal AI systems may use aggregated and anonymized data to improve service quality, but we never expose individual client information. You agree not to disclose Fuelads' proprietary methods, prompts, internal processes, agent architecture, or business operations to third parties or competitors.

13. Limitation of Liability

To the maximum extent permitted by law, Fuelads (Inkvoid LLC) total liability is limited to the fees paid by you in the most recent 3-month period preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to: - Lost profits or revenue - Lost data - Business interruption - Damage to reputation - Loss of goodwill - Account suspensions on third-party platforms (Google, Meta, WhatsApp, TikTok, LinkedIn) - Loss of WhatsApp message delivery - Custom Audience match-rate underperformance - Fines or sanctions arising from your violation of privacy laws Some jurisdictions do not allow these limitations, so they may not apply to you. In such cases, our liability is limited to the maximum extent permitted by applicable law.

14. Indemnification

You agree to indemnify and hold harmless Fuelads (Inkvoid LLC), its officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: - Your use of the Platform - Your violation of these Terms - Your violation of any third-party rights, including intellectual property - Content you provide that infringes the rights of others - Your violation of applicable privacy laws (GDPR, LGPD, CCPA, Habeas Data, etc.) - Lack of valid consent from CRM contacts or WhatsApp message recipients - Your violation of applicable laws or platform policies of connected services

15. Termination

Either party may terminate the service in accordance with the commitment period rules described in Section 5. Fuelads may terminate or suspend your account immediately, without prior notice, for: - Violation of these Terms - Non-payment beyond the grace period - Engagement in prohibited uses (Section 11) - Fraudulent or illegal activity - Misuse of CRM, WhatsApp messaging, or Custom Audiences features without valid consent - Risk to our infrastructure or other users Upon termination, you will retain access to download your digital assets (website ZIP, CRM export, etc.) for at least 30 days. After this period, we may delete data subject to our retention policy described in our Privacy Policy. Your campaigns, ad accounts, and Custom Audiences in third-party platforms (Meta, Google, etc.) remain under your direct control after termination — Fuelads only loses the ability to manage them on your behalf.

16. Modifications to Terms

We may modify these Terms from time to time as our services evolve. We will notify you of significant changes by: - Email to the address associated with your account - Notice posted prominently on the Platform Continued use of the service after changes take effect constitutes acceptance of the modified Terms. The "Last updated" date at the top reflects the most recent revision.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any disputes arising from or related to these Terms or your use of Fuelads will be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules, conducted in English in Sheridan, Wyoming, or remotely as mutually agreed. You waive your right to participate in class actions or class-wide arbitration. Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining Terms will continue in full force and effect.
